আইপিও কী সেটা আগের একটা লেখায় দেখা হয়েছে: একটা কোম্পানি প্রথমবার সাধারণ মানুষের কাছে শেয়ার বিক্রি করছে। এই লেখাটা তত্ত্ব নয়, হাতে কলমে: আবেদন কীভাবে করবেন, কত টাকা লাগবে, কীভাবে বরাদ্দ হয়, আর কবে কী হাতে আসে।
বাংলাদেশে আইপিও নিয়ে উৎসাহ বেশি, কারণ অনেক আইপিও তালিকাভুক্তির প্রথম দিনেই ভালো দাম পায়। এটা সত্যি হলেও পুরো ছবি নয়, আর এই লেখার শেষে আপনি জানবেন কেন।

Enthusiasm for IPOs runs high here, because many list at a good premium on the first day. That is true and it is not the whole picture, and by the end of this lesson you will know why.

খেয়াল করুন প্রথম ধাপটা আবেদন নয়। যোগ্যতার শর্ত আগে: বিও অ্যাকাউন্ট থাকতে হবে, আর সাধারণ বিনিয়োগকারীর ক্ষেত্রে নিয়ন্ত্রক একটা ন্যূনতম বাজারমূল্যের বিনিয়োগ থাকার শর্ত দিয়েছে। শর্তটা সময়ে সময়ে বদলায়, তাই আবেদনের আগে বর্তমান নিয়ম দেখে নিন।
প্রসপেক্টাসে যে তিনটা জায়গা পড়তেই হবে
প্রসপেক্টাস দুইশো পৃষ্ঠার হতে পারে, আর পুরোটা পড়ার দরকার নেই। তিনটা জায়গা পড়লে আপনি বেশিরভাগ মানুষের চেয়ে বেশি জানবেন।
টাকাটা কোথায় যাবে। কোম্পানি এই টাকা দিয়ে কী করবে সেটা লেখা থাকে। নতুন যন্ত্রপাতি, নতুন কারখানা, ঋণ শোধ, নাকি কেবল পুরনো শেয়ারহোল্ডারদের বেরিয়ে যাওয়ার সুযোগ? প্রথম দুইটা ব্যবসা বাড়ায়, তৃতীয়টা ঝুঁকি কমায়, আর চতুর্থটা আপনার জন্য কিছুই করে না।
ঝুঁকির অংশ। এই অংশটা আইনজীবীরা লেখেন আর তাই এটা নিরস, কিন্তু এখানেই কোম্পানি নিজের সমস্যাগুলো স্বীকার করে। একটা কাঁচামালের উপর নির্ভরতা, একটা বড় ক্রেতা, একটা চলমান মামলা: সব এখানে লেখা থাকে।
গত তিন বছরের আর্থিক বিবরণী। বিশেষ করে দেখুন আয় আর মুনাফা তালিকাভুক্তির ঠিক আগের বছরে হঠাৎ বেড়েছে কি না। এটা একটা পরিচিত ধরন, আর সেটা সবসময় খারাপ নয়, কিন্তু প্রশ্ন করার মতো।
একটা সাধারণ ভুল হলো ইস্যু দামকে সস্তা বা দামি বলা কেবল সংখ্যাটা দেখে। ১০ টাকার আইপিও সস্তা নয় আর ৫০ টাকারটা দামি নয়। যেটা দেখতে হবে তা হলো ইস্যু দাম আর প্রতি শেয়ার আয়ের সম্পর্ক, অর্থাৎ পিই, আর সেটা একই খাতের তালিকাভুক্ত কোম্পানিগুলোর তুলনায় কেমন।
বরাদ্দের অঙ্ক
Notice that the first step is not applying. Eligibility comes first: you need a BO account, and general investors must hold a minimum market value of investments, a condition the regulator sets. That condition is revised from time to time, so check the current rule before you apply.
The three parts of a prospectus you must read
A prospectus can run to two hundred pages, and you do not need all of it. Three sections will put you ahead of most applicants.
Where the money goes. The company states what it will do with the proceeds. New machinery, a new factory, repaying debt, or simply an exit for existing shareholders? The first two grow the business, the third reduces risk, and the fourth does nothing for you.
The risk section. It is written by lawyers and it is dull, and it is where the company admits its own problems. Dependence on one raw material, one large customer, an ongoing case: all of it is there.
Three years of accounts. Look in particular at whether revenue and profit jumped in the year immediately before listing. That is a recognisable pattern, and while it is not always bad, it is always worth a question.
A common error is calling an issue price cheap or expensive from the number alone. A 10 taka IPO is not cheap and a 50 taka one is not expensive. What matters is the issue price against earnings per share, which is the PE, and how that compares with listed companies in the same sector.

একটা বাস্তব হিসাব। ধরুন আপনি ১০,০০০ টাকার আবেদন করলেন আর বরাদ্দ পেলেন ৫,০০০ টাকার শেয়ার। প্রথম দিনে দাম ৬০% বাড়ল। আপনার লাভ ৩,০০০ টাকা। এর জন্য আপনার টাকা আটকে ছিল প্রায় ছয় সপ্তাহ, আর আপনি একটা ফরম পূরণ করেছেন। খারাপ নয়, কিন্তু এটা আপনার সম্পদ গড়ার পরিকল্পনা হতে পারে না।
প্রথম দিনের লাফ, আর তারপর
অনেক আইপিও প্রথম দিন ভালো করে, কারণ ইস্যু দাম প্রায়ই বাজার দামের চেয়ে কম রাখা হয় যাতে আবেদন ভালো হয়। এটা একটা নকশা, দৈব ঘটনা নয়।

তাই একটা সহজ শৃঙ্খলা: আইপিওতে আবেদন করাটা একটা আলাদা কাজ, আর কোম্পানিটাকে দীর্ঘমেয়াদে ধরে রাখাটা আরেকটা। দ্বিতীয়টার জন্য কেনার পাঁচটা প্রশ্ন সমানভাবে প্রযোজ্য, আর সেগুলোর উত্তর প্রসপেক্টাসেই আছে।
Try raising the number of applications in the tool. In a popular IPO your chance of getting anything falls, and what you do get is so small that even a good first-day gain is modest in money terms. This is the single most misunderstood thing about IPOs.
An actual calculation. Say you apply for 10,000 taka and are allotted 5,000 taka of shares. On the first day the price rises 60%. Your gain is 3,000 taka. For that, your money was tied up around six weeks and you filled in a form. Not bad, but it cannot be your plan for building wealth.
The first-day pop, and afterwards
Many IPOs do well on the first day, because the issue price is often set below the likely market price so that the offer is well subscribed. That is a design, not an accident.
The question is what comes next. Many IPO prices drift down over the following months, and some go below the issue price. Because the first day's price is made of enthusiasm and the following year's is made of earnings.
So a simple discipline: applying for an IPO is one activity, and holding the company for the long term is another. For the second, the five questions before buying apply exactly as they always do, and the answers are in the prospectus.

Buying from outside
One option almost nobody considers: do not apply, and buy from the market six months after listing. By then you have at least two quarters of results, some evidence of how the company behaves as a listed company, and a price made by trading rather than by enthusiasm.
You give up the first-day pop. In exchange you make a real decision instead of entering a lottery.
